These Terms of Use ("Terms") are a binding agreement between you and VBDGS LLC, a California limited liability company ("PE Proper," "we," "us," or "our"), concerning your access to and use of PE Proper's websites, applications, calculation tools, reports, participant portals, support services, and related features (collectively, the "Service"). PE Proper is the name of the software service and is not a law firm.
By creating an account, accepting an invitation, clicking an acceptance control, purchasing or using the Service, or otherwise accessing the Service, you agree to these Terms, the Privacy Policy, the Legal Disclaimer, and the Cookie Notice. If you use the Service for a law firm, organization, client, or other entity (a "Customer"), you represent that you have authority to bind that Customer.
The Service provides software tools for organizing information, recording positions and valuations, performing user-directed calculations, comparing scenarios, facilitating collaboration, and generating draft reports relating to property, debts, reimbursements, or other case information. Features, jurisdiction labels, statutory references, examples, educational content, and calculation logic are provided as workflow aids only.
PE Proper is not a law firm, does not practice law, does not represent any user or participant, and does not provide legal advice, legal opinions, litigation strategy, tax advice, financial advice, appraisal services, or accounting advice. Use of the Service does not create an attorney-client, fiduciary, expert-witness, mediator, accountant-client, or other professional relationship with PE Proper or its personnel.
You should not use the Service as a substitute for professional judgment. If you are not represented, we strongly recommend that you consult and, where appropriate, retain an attorney licensed in the relevant jurisdiction before entering an agreement, waiving a right, submitting a filing, relying on a calculation, or making a legal or financial decision.
You must be at least 18 years old and legally capable of entering a contract to use the Service. The Service is intended for authorized legal professionals, their staff, mediators or other approved professionals, and persons invited by an authorized Customer. An invitation or participant link does not mean that PE Proper represents, advises, endorses, or owes a professional duty to the recipient.
Users remain responsible for professional licensing, supervision, conflicts, confidentiality, competence, recordkeeping, trust-account, advertising, and other ethical or legal duties.
You must provide accurate registration information, maintain the confidentiality of credentials, use available security controls (including single-session controls), and promptly report suspected unauthorized access. You are responsible for activity performed through your account. Accounts are individual and may not be shared.
"Customer Content" means information, files, images, valuations, notes, calculations, communications, and other material submitted to or generated through the Service for a Customer. As between the parties, the Customer and its users retain their rights in Customer Content. The Customer grants PE Proper a limited, nonexclusive right to host, process, transmit, reproduce, and display Customer Content solely to provide, operate, maintain, secure, troubleshoot, and support the Service.
Results depend on the completeness, classification, valuation date, ownership assumptions, allocation choices, jurisdiction settings, and other inputs supplied by users. PE Proper does not independently verify facts, title, appraisals, account balances, tracing, characterization, enforceability, tax consequences, or admissibility.
All generated property reports and schedules are working drafts for independent review. Before use, an authorized professional must review source data, calculations, citations, dates, formatting, required disclosures, signatures, and local filing requirements.
Shared links and participant portals may expose Customer Content to recipients. The sender is responsible for selecting the correct recipient, permission level, expiration, PIN code, and scope. A participant submission, approval, comment, click, or electronic acknowledgment is not automatically a legally binding signature or court pleading.
Paid plans, including the Single-Matter Pass, Professional Solo, and Professional Team plans, are processed through our payment partner, Paddle. Single-Matter Passes ($59.00) provide access for 180 days. Monthly subscriptions renew automatically unless canceled prior to the renewal date via your account settings. Cancellation stops future billing cycles.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." VBDGS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. LIABILITY IS LIMITED TO THE GREATER OF AMOUNTS PAID IN THE TWELVE MONTHS PRIOR TO THE CLAIM OR US$100.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Exclusive jurisdiction and venue lie in the state and federal courts located in San Francisco County, California.
